Corporate governance has recently become of even greater concern
to our clients. We advise extensively on internal controls
and procedures as well as the requirements for listed companies.
The Combined Code has had its effect on both directors and
shareholders as well as a company's auditors, enhanced for listed
companies by the requirements of the revised Listing Rules. Finally
European legislation has increasingly targeted this area.
Our directors and officers liability practice gives us a
particular insight into problems and issues which individual
directors experience at a practical level. This in turn gives us an
opportunity to advise both companies and individual directors on
effective risk management and control techniques. Through our
insurance practice, we also bring a particular focus to bear on the
question of indemnification by companies of their directors and
officers and the inter-relationship between such indemnification
and any D&O liability insurance which companies may purchase.
Recent legislative changes together with a developing D&O
